This website, arcalabs.io, is operated by Arca Labs Ltd, a private limited company registered in England and Wales under company number 17120412, with its registered office at 45 Whittington Chase, Kingsmead, Milton Keynes, Buckinghamshire, MK4 4HL.

In these Terms, "Arca", "we", "us" and "our" mean Arca Labs Ltd. "You" or "your" means any person accessing or using the website. "Site" means arcalabs.io and any subdomain or successor domain operated by Arca Labs Ltd.

By accessing or using the Site, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use the Site.

These Terms apply to your use of the Site only. They do not apply to the Arca platform itself, any operator skin (such as Kind Wins), or any services we provide under a separate written agreement — those are governed by their own terms.

Access to the Site is provided free of charge and is permitted on a temporary basis. We reserve the right to withdraw or modify the Site or any feature at any time without notice. We will not be liable if, for any reason, the Site is unavailable at any time or for any period.

You are responsible for all arrangements necessary for you to access the Site (including internet connection, compatible device and up-to-date browser) and for ensuring that anyone who accesses the Site through your internet connection is aware of these Terms and complies with them.

You may use the Site for the following purposes:

• Your own lawful, non-commercial personal or internal-business use, including evaluating whether to engage with Arca as an operator, investor, partner or supplier.
• Printing or downloading extracts of pages for the above purposes, provided you do not remove any copyright or proprietary notices.
• Linking to the Site in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not use the Site:

• In any way that breaches any applicable local, national or international law or regulation.
• To send, knowingly receive, upload, download, use or re-use material that is unlawful, defamatory, obscene, offensive, threatening, discriminatory, or breaches any third-party right.
• To transmit or procure the sending of any unsolicited advertising or promotional material.
• To knowingly transmit any data, or send or upload any material, that contains viruses, trojans, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code.
• To attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer or database connected to the Site.
• To attack the Site via a denial-of-service attack, a distributed denial-of-service attack, or any similar method.
• To scrape, data-mine or systematically extract content from the Site without our prior written consent.
• To use the Site, or any content on it, to develop a competing product or service.

A breach of this section may constitute a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law-enforcement authorities and co-operate with them by disclosing your identity.

We are the owner or licensee of all intellectual property rights in the Site and in the material published on it (including without limitation the Arca name, the Arca logo, the arch motif, text, graphics, code, design and layout). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You must not use any part of the content on the Site for commercial purposes without first obtaining a licence from us or our licensors. If you print off, copy or download any part of the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Nothing in these Terms grants you any rights in or to any of our trade marks, trade names, service marks or logos.

Where you send us information via email, the contact channels on the Site, or any form we make available (together, "Submissions"), you:

• confirm that the Submission is yours to provide or that you have all necessary rights to provide it;
• confirm that the Submission does not breach any third-party rights (including privacy, intellectual-property, or confidentiality);
• grant us a non-exclusive, royalty-free, worldwide licence to use the Submission for the purposes of responding to you, evaluating potential partnerships and maintaining business records.

We are not obliged to treat any Submission as confidential unless we have expressly agreed to in writing (e.g. under a signed non-disclosure agreement). Please do not send us confidential, sensitive or legally-privileged information through the Site.

The Site may contain links to third-party websites (for example, to partner sites, professional networks or future independent operator skins). Those links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Links to other sites operated by Arca Labs Ltd itself — including the Kind Wins community prize-draw skin — are governed by the terms and privacy notices published on those sites.

The Site uses third-party service providers (for example, PostHog EU for analytics — see our Cookies Policy, and Google Fonts / similar providers for typography). Those providers operate under their own terms and privacy notices.

The content on the Site is provided for general information only. It is not intended to amount to advice (legal, financial, regulatory, technical or otherwise) on which you should rely. You must obtain appropriate professional advice before taking, or refraining from, any action on the basis of content on the Site.

Nothing on the Site constitutes, or is intended to constitute, an offer of securities, an invitation to subscribe for securities, a financial promotion, or a solicitation to buy or sell any financial instrument. Any discussion of the Arca platform, operator licensing, or future operators is for information only and does not form the basis of any commercial relationship.

A commercial relationship with Arca — whether as an operator, partner, supplier or investor — only arises under a signed written agreement executed by an authorised signatory of Arca Labs Ltd.

To the fullest extent permitted by law, we exclude all conditions, warranties, representations or other terms that may apply to the Site or any content on it, whether express or implied.

The Site is provided on an "as is" and "as available" basis. We do not warrant that:

• the Site will be uninterrupted, timely, secure or error-free;
• any defects will be corrected;
• the Site or the server that makes it available are free of viruses or other harmful components;
• the information on the Site is accurate, complete or current.

Nothing in these Terms excludes or limits our liability for:

• death or personal injury arising from our negligence;
• fraud or fraudulent misrepresentation;
• any other liability which cannot be excluded or limited under the laws of England and Wales.

Subject to the above paragraph, and to the fullest extent permitted by law:

• we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, loss of revenue, loss of business, loss of contracts, loss of opportunity, loss of anticipated savings, loss of goodwill, loss or corruption of data, or for any indirect, consequential or special loss, arising out of or in connection with your use of the Site;
• our total aggregate liability to you in connection with the Site, whether in contract, tort (including negligence) or otherwise, is limited to £100.

You agree to indemnify, defend and hold harmless Arca Labs Ltd, its directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have breached these Terms or for any other reason at our sole discretion. On termination, the provisions of these Terms that by their nature should survive termination will continue to apply — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.

We may revise these Terms at any time by updating this page. You are expected to check this page periodically to take notice of any changes we made, as they are binding on you. Material changes will be highlighted at the top of this page for at least 30 days before they take effect.

• Entire agreement. These Terms and any document referred to in them (including our Privacy Policy and Cookies Policy) constitute the entire agreement between you and us relating to use of the Site.
• Assignment. We may transfer our rights and obligations under these Terms to another organisation. You may not transfer any of your rights or obligations without our prior written consent.
• No waiver. A failure or delay by us in exercising any right under these Terms does not constitute a waiver of that right.
• Severability. If any provision of these Terms is held to be unlawful or unenforceable, the remaining provisions will continue in full force.
• Third-party rights. No one other than a party to these Terms shall have any right to enforce any of their terms under the Contracts (Rights of Third Parties) Act 1999.

These Terms, their subject matter and formation (and any non-contractual disputes or claims arising out of or in connection with them) are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter, except that if you are a consumer residing elsewhere in the United Kingdom, you may also bring proceedings in the courts of the jurisdiction in which you reside.
